SYMS Corporation was founded in 1958 by Sy Syms and has 30 stores within 13 states (Connecticut, Florida, Georgia, Illinois, Maryland, Massachusetts, Michigan, New Jersey, New York, Pennsylvania, Rhode Island, Texas, and Virginia).
SYMS provides consumers with designer clothing at off price, and was one of the first retail stores to offer name-brand clothing from top designers at substantially lower prices than conventional retail stores.
As such, once again, we are compelled to express our frustration and dismay at SYMS consistent and continuing lack of disclosure in its public filings; specifically with respect to the size of the Company's real estate holdings and SYMS failure to specifically categorize what may be substantial streams of rental income it receives while acting as a landlord to dozens of third party tenants located on SYMS owned properties.

Why do SYMS Management and the Audit Committee fail to disclose this material amount of additional real estate?
Both December 28th documents, the developmental air rights agreement and the "Zoning Lot Development Agreement," were executed by SYMS former Chief Financial Officer and former Board Member, Antoine Moreira (who strangely resigned from the Company without explanation just a few weeks after we filed our lawsuit against the Board of Directors in late January 2008).
This purchase permitted SYMS to develop a much larger building on the 42 Trinity parcel than what was previously allowed.
The executed December 28th "Zoning Lot Development Agreement" ("Development Agreement") between SYMS and the seller of the air rights of 44 Trinity also contained a very relevant and material clause.
In fact SYMS continues to represent itself as a pure "off-price retailer" as opposed to a company that has intentions to engage in a large-scale residential/commercial real estate project on its most valuable piece of owned real estate.
